Independent Contractor Services Agreement
This Independent Contractor Agreement (the "Agreement") is entered into and made effective as of September 13, 2026 (the "Effective Date"), by and between:
1. CLIENT: Acme Enterprises Ltd. (hereinafter referred to as the "Client") of the first part, and
2. CONTRACTOR: Abebe Kebede (hereinafter referred to as the "Contractor") of the second part.
WHEREAS, the Client desires to retain the services of the Contractor to perform specialized professional services, and the Contractor agrees to perform such services under the terms and conditions outlined herein.
NOW THEREFORE, in consideration of the mutual covenants herein contain, the parties agree as follows:
1. Scope of Services
The Contractor shall perform the professional services outlined as follows: Development, optimization, and deployment of k4b-pro web applications, integrating Woo commerce sync features, and ensuring micro-frontend stability.. Any modifications or expansions of the scope must be agreed upon in writing by both parties.
2. Compensation and Payment Terms
As full compensation for the services rendered under this Agreement, the Client shall pay the Contractor ETB 45,000 / month. Payments shall be disbursed within fifteen (15) days of receipt of an itemized invoice sent by the Contractor.
3. Relationship of the Parties
The Contractor is an independent operator. Nothing contained in this Agreement shall construct a partnership, joint venture, or employer-employee relationship. The Contractor is solely responsible for all federal, regional, or local tax liabilities arising from payments received.
4. Intellectual Property
All deliverables, software, designs, algorithms, and documentation developed by the Contractor specifically for the Client during the term of this Agreement shall belong exclusively to the Client upon full payment of all outstanding invoices.
5. Governing Law and Dispute Resolution
This Agreement shall be governed, interpreted, and enforced in accordance with the laws of Ethiopian Civil Code. Any dispute arising out of this Agreement that cannot be resolved amicably shall be submitted to binding arbitration in accordance with standard civil rules.
